In these terms and conditions, the following definitions apply:
An Agreement between Stellaris Studios and the Client will only come into existence when we issue written confirmation of acceptance of an order. The Agreement will be subject to these terms and conditions.
Stellaris Studios will provide the Services as outlined in the Agreement. We will use reasonable skill and care in providing the Services. We reserve the right to refuse to provide Services if we believe that the Project is illegal, unethical, or offensive.
The Client agrees to:
Payment terms will be as specified in the Agreement. Unless otherwise agreed in writing, payment is due within 30 days of the date of the invoice. Late payments may be subject to interest at a rate of 1.5% per month or the maximum rate permitted by law, whichever is lower. Stellaris Studios reserves the right to suspend or terminate Services if payment is not received on time.

Either party may terminate the Agreement by providing written notice to the other party. If the Client cancels the Agreement, they will be liable for any costs incurred by Stellaris Studios up to the date of cancellation. Stellaris Studios may terminate the Agreement if the Client breaches any of these terms and conditions.
Stellaris Studios retains all Intellectual Property rights in the Services, including but not limited to copyright in the video footage, audio recordings, and other creative materials. Upon full payment of all invoices, Stellaris Studios grants the Client a non-exclusive license to use the Project for the purposes outlined in the Agreement. Stellaris Studios reserves the right to use the Project for promotional purposes, unless otherwise agreed in writing.
Both Stellaris Studios and the Client agree to keep confidential any information disclosed by the other party in connection with the Agreement. This obligation of confidentiality will continue even after the termination of the Agreement.
Stellaris Studios' liability to the Client for any loss or damage arising out of or in connection with the Agreement will be limited to the total fees paid by the Client to Stellaris Studios under the Agreement. Stellaris Studios will not be liable for any indirect, consequential, or special loss or damage.
The Client agrees to indemnify and hold Stellaris Studios harmless from any claims, damages, or expenses arising out of or in connection with the Client's use of the Services or breach of these terms and conditions.
Neither party will be liable for any failure to perform its obligations under the Agreement if such failure is caused by a force majeure event, including but not limited to acts of God, war, terrorism, strikes, or natural disasters.
These terms and conditions will be governed by and construed in accordance with the laws of the State of California. Any disputes arising out of or in connection with these terms and conditions will be subject to the exclusive jurisdiction of the courts of California.
Stellaris Studios reserves the right to modify these terms and conditions at any time. Any changes will be posted on this website, and it is the Client's responsibility to review these terms and conditions periodically.
